Terms

Who we are

These are the terms of RippleSM for our advertising services, this website and the client portal. Our details, as the Electronic Communications and Transactions Act (s43) asks:

Name
RippleSM
Website
https://ripplesm.com

These terms

They apply when you use this website or the portal, and when you work with us. A signed proposal or service agreement can add to them; where the two disagree, the signed document wins. Our privacy policy and cancellation and refund policy form part of these terms.

What we do

We take your brief, make ad films, plan and run your ads on Meta (Facebook and Instagram) and Google, and report the results in the portal, on WhatsApp and by email. What each plan includes, and its price, is on our pricing. Films are delivered in the portal for your approval; ads go live only once approved.

Prices, ad spend and VAT

  • Each plan is a monthly retainer plus a management fee: a percentage of what your ads spent that month.
  • Your ad spend itself is charged by Meta and Google to the payment method on your ad account. Our invoices carry our retainer and management fee, never the spend.
  • Prices on this site exclude VAT, which our invoices add at the standard rate.

Paying us

We send one invoice a month. Pay it by the due date shown, by card through Paystack or by EFT. If an invoice is overdue we may pause work and your ads until it is paid, after telling you first.

Approvals

When you approve a film, a campaign or a budget in the portal or on WhatsApp, we treat that as your go-ahead to run it as approved, including spending up to the approved budget on your ad account. Nothing goes live or spends without an approval.

Your brand, footage and claims

  • Your name, logo, photos, footage and other material stay yours. You let us use them to make and run your ads for as long as we work together.
  • You confirm you have the right to give them to us, and that every person shown in them has agreed to appear in your ads (a parent or guardian for a child).
  • You confirm that what your ads say about your business, products and prices is true and that you can back it up, as the Consumer Protection Act (s41) and the Advertising Regulatory Board’s Code require, and that you hold any licence your industry needs to advertise.

What we won’t advertise

We may refuse or stop any ad that:

  • is unlawful, or promotes something unlawful
  • is misleading, or makes claims that can’t be backed up
  • is about politics, elections or social issues
  • Meta or Google don’t allow, or restrict in a way your business can’t meet
  • shows or imitates a real person who hasn’t agreed to it
  • uses someone else’s brand, music or footage without permission

The films we make

We use AI tools to make films, and declare them as AI-made where a platform asks. Once the invoice for a film is paid, you may use it in your own advertising with no time limit. We may show it in our portfolio unless you ask us not to.

Meta, Google and results

Meta and Google decide whether an ad runs, and can reject ads or restrict accounts under their own policies. We follow those policies, but their decisions are theirs. Ads depend on many things outside our control, so we can’t promise a number of leads or sales. The portal shows what your money did.

Our responsibility

We do the work with the care and skill you can reasonably expect, and put right what we get wrong (see our refund policy). As far as the law allows, we aren’t responsible for indirect loss such as lost profit, and our total responsibility for any claim is limited to the fees you paid us in the three months before it. Nothing here limits a right you have under the Consumer Protection Act.

Ending our work together

Either of us can end the retainer with 20 business days’ written notice, by email. You pay for work up to the end of the notice period. Either of us can end it at once if the other seriously breaches these terms and doesn’t put it right within 10 business days of being asked. Cooling-off rights are in the refund policy.

Your portal account

Portal accounts are for the people at your business you ask us to invite. Keep your password to yourself and tell us straight away at hello@ripplesm.co.za if you think someone else has used it.

Numbers in the portal

Results come from Meta and Google and are updated through the day, so recent figures can still change as the platforms finalise them. Invoices are the record for anything you pay.

Law and disputes

South African law applies. If something goes wrong, tell us first and we’ll try to settle it. If we can’t, either of us may take it to the National Consumer Commission, a consumer court or ombud where the law allows, or to a South African court.

Changes

We may update these terms; the date at the top shows when they last changed. Changes don’t apply to work already approved.
